Automatische Vertragserstellung: kiiac Partnerschaft mit ACC

ContractStandards ist eine Art Wikipedia für Verträge. Der Kopf hinter diesem Angebot ist Martin Kingsley. Martin Kingsley ist einer der bekanntesten Experten auf dem Gebiet automatisierter Vertragsanalyse und Vertragserstellung. Sein Blog "Contract Analysis and Contract Standards" ist Pflichtlektüre für jeden, der sich mit dem Thema Document Automation beschäftigt. In diesem Post erkläre ich was ContractStandards überhaupt ist und wie es funktioniert und gehe im zweiten Teil auf die nach meiner Einschätzung aufsehenerregende Kooperation zwischen Kingsley und ACC ein. Im zweiten Teil gibt es auch einen Tipp wie man das System zumindest zurzeit noch kostenlos ausprobieren kann. A. Was ist ContractStandards Mit ContractStandards und seiner Software-Firma kiiac arbeitet Kingsley an der Umsetzung folgender Vision: Festlegung allgemein gültiger Vertragsstandards Automatisierte Erstellung von Verträgen basierend auf diesen Standards (Document Assembly) Automatisierter Vergleich individueller Verträge mit diesen Standards Tönt auf den ersten Blick nach Zukunftsmusik, ist es aber nicht. Das System funktioniert bereits erstaunlich gut und wird immer besser. Kingsley hat eine "Unified Contract Structure" entwickelt und basierend darauf verschiedene Arten von Verträgen in einer Vertragsmatrix klassifiziert. Des Weiteren bietet ContractStandards ein Freeware Document Assembly Tool in Form eines Microsoft Word Makros an. Ein weiteres Angebot ist ein einfaches Tool zum erstellen von NDAs. Interessant bei letzterem Angebot ist, dass ContractStandards das NDA per Google Docs erstellt (wovon man allerdings nicht viel merkt, Zusendung des Endergebnis erfolgt per E-Mail). Als Laie fragt man sich, wie so was funktionieren kann, aber eigentlich ist es gar nicht so kompliziert: Analyse bestehender Verträge und Klassifizierung einzelner Vertragsklauseln Bestehende Verträge aus öffentlich zugänglichen Quellen werden durch die kiiac Software automatisch analysiert. Die Software stellt fest welche Klauseln ein Vertrag enthält, wie diese Klauseln aufgebaut sind und klassifiziert sie (vgl. diesen Blog Post von Kingsley für die dabei verwendeten Kategorien). Als Resultat entsteht zu jedem Vertragsgegenstand eine Bibliothek an Vertragsklauseln mit Standard "Core" Formulierungen und allen möglichen Alternativen dazu. Hier ein Beispiel, wie das dann z.B. für eine Abtretungsklausel aussieht. Ist natürlich nicht zufällig, dass dieser Aufbau so oder ähnlich meistens auch in Contract Playbooks verwendet wird. Ganz ohne menschlichen Input läuft der Prozess allerdings dann doch nicht ab: Die Ergebnisse werden am Schluss noch überprüft um die Sprache so weit wie möglich und sinnvoll zu vereinfachen und um zu verhindern, dass persönliche Informationen veröffentlicht werden.
